OFFICIAL CONTEST RULES

NO PURCHASE NECESSARY. THIS CONTEST IS OPEN ONLY TO RESIDENTS OF CANADA AND IS GOVERNED BY CANADIAN LAW

1. KEY DATES:

   The AIR MILES® Moment Shop Contest (the “Contest”) runs from July 4, 2024, to August 10, 2024 (the “Contest Period”).

2. CONTEST SPONSOR:

   AIR MILES Loyalty Inc., doing business as the AIR MILES Reward Program (the “Sponsor”), located at 100 King Street West, 21^st Floor, Toronto, Ontario, M5X 1A1.

3. ELIGIBILITY TO ENTER:

   The Contest is open only to residents of Canada: (i) who are at least 16 years of age at the time of entry; and (ii) who are or become an active AIR MILES collector (a “Collector”) as of the time of entry into the Contest; except employees, representatives or agents (and those with whom such persons are living, whether related or not) of the Sponsor, its parent company, subsidiaries, associated and affiliated entities, prize suppliers, advertising/promotion agencies and any other individual(s), entity or entities involved in the development, production, implementation, administration, judging or fulfillment of the Contest (collectively, the “Contest Parties”). Any individual who meets all of the aforementioned eligibility requirements (as determined by the Sponsor in its sole and absolute discretion) will hereinafter be referred to as an “Eligible Entrant.”

4. IMPORTANT NOTE ABOUT THE NEED TO BE AN AIR MILES COLLECTOR:

   You must be a Collector (“Collector”) and have a valid AIR MILES Card in order to participate in the Contest. If an Eligible Entrant is not already a Collector, he/she/they can become one for free by speaking to the Sponsor’s representative at the Location (defined below), or can enroll online at www.airmiles.ca.  By becoming a Collector, you agree to be bound by the terms and conditions of the AIR MILES Reward Program as amended from time to time.
    

   For the purpose of these Official Contest Rules, the Collector is the individual in whose name the AIR MILES Collector Number has been established or, in the case of a Business Collector, the principal associated with the Business Collector Number, as determined by the Sponsor, and this is the individual to whom a Prize (as defined below) will be awarded if he/she/they are selected and declared a winner. Canadian residence will be determined by the mailing address associated with the Collector Number.

5. AGREEMENT TO BE LEGALLY BOUND BY THESE RULES:

   By participating in this Contest, you fully and unconditionally agree to and accept these Official Contest Rules (the “Rules”) and the decisions of the Sponsor and its Contest administrators and judges, which are final and binding in all matters related to the Contest.

6. PARTICIPATING AIR MILES MOMENT SHOP CONTEST LOCATIONS, DATES AND TIMES:

   For the purposes of this Contest, there will be an AIR MILES Moment Shop (“AIR MILES Moment Shop”) available at the following locations (each a “Location”) on a select date/time (“Date/Time”) during the Contest Period.

   Locations and Dates/Times are subject to change in the sole and absolute discretion of the Sponsor, without notice.

7. HOW TO PARTICIPATE:

   No purchase necessary. To participate, an Eligible Entrant must visit the Location during the applicable Date/Time and locate the AIR MILES Moment Shop at that Location (the "Moment Shop”). Once at the Moment Shop, Eligible Entrants will be able to walk through the Moment Shop and select a package from the "moment” they are most interested in. They will then take the package to the checkout, where they will be asked to enter their name and collector number and be given the option to provide their email address and consent to receiving marketing communications related to the AIR MILES Reward Program. For clarity, consenting to receive marketing communications is not a requirement for entry into the Contest and does not affect the odds of winning any particular Prize. Once the required information is provided, a brand ambassador will then scan the package and the terminal will dictate the Prize (as defined below in Rule 9) that he/she/they are eligible to win (subject to compliance with these Rules). For a complete list of the Prizes available at each Location and Date/Time, please see Schedule “A” below. All decisions of the Sponsor as to the Prize that an Eligible Entrant is eligible to win will be final and binding without right of appeal.

   While supplies last, each Eligible Entrant who follows the instructions above can choose exactly one (1) package for a total of being eligible to win one (1) Prize (as defined below) during the Contest Period. By selecting a package from a specific “moment” in the Moment Shop, the Eligible Entrant becomes eligible to win one of the Prizes from among the specific list associated with that “moment”, as set out in Schedule “A” below. The individual package selected from among those within a specific “moment” does not affect one’s chances of winning any particular Prize from among the specific list associated with that “moment.” 

8. ADDITIONAL ENTRY RULES AND VERIFICATION:

   If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to use multiple names, identities, or any automated, macro, script, robotic or other system(s) or program(s) and/or any other means not in keeping with the letter and spirit of these Rules to enter or otherwise participate in or to disrupt this Contest, then he/she/they may be disqualified from the Contest at the sole and absolute discretion of the Sponsor. The Sponsor reserves the right, at its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government-issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any information entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Sponsor deems necessary, at its sole and absolute discretion, for the purposes of administering this Contest in accordance with the letter and spirit of these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification, at the sole and absolute discretion of the Sponsor. The sole determinant of the time for the purposes of this Contest will be the Sponsor’s Official Clock(s).

9. PRIZES:

   There will be a total of eight thousand five hundred and thirty five (8,535) prizes (each, a “Prize” and collectively, the “Prizes”) described in Schedule “A” below, available to be won in relation to this Contest. There will be a pre-set number of Prizes at the Moment Shop at each Location as set forth in Schedule “A” below, while supplies last. Without limiting the generality of any applicable Prize conditions noted in Schedule “B” below the following general conditions also apply to each Prize: (i) Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by Sponsor, at its sole and absolute discretion); (ii) no substitutions except at Sponsor’s option; (iii) Sponsor reserves the right at any time to substitute a Prize or a component thereof for any reason with a prize or prize component(s) of equal or greater retail value, including, without limitation, but solely at the Sponsor’s sole discretion, a cash award; (iv) other specifics of each Prize will be at the sole and absolute discretion of the Sponsor and subject to availability; (v) manufacturer’s standard warranty, if any, applies to each Prize; (vi) The Prize is subject to all of the Prize supplier’s standard terms, conditions, restrictions, limitations and expiry dates, including the Prize supplier’s standard gift card terms and conditions, where applicable; (vii) upon notification, a confirmed Prize winner may, at the sole and absolute discretion of the Sponsor, be required to personally take delivery of his/her/their Prize at the Location or from a location reasonably close to his/her/their place of residence as determined by Sponsor, in its sole and absolute discretion, and will be required to present adequate personal identification (in a form acceptable to the Sponsor – including, without limitation, government-issued photo identification); (viii) each confirmed Prize winner is solely responsible for all expenses that are not included in the Prize description, above, and in Schedule “A.”

    

   For any merchandise Prizes, manufacturers’ warranties apply and the Released Parties (defined below) make no representations or warranties, expressed or implied, including but not limited to those relating to the quality, merchantability, fitness for a particular purpose, or mechanical condition of any Prize. No compensation will be provided for failure by a confirmed winner to accept any portion of the Prize as awarded.
    

   For any AIR MILES Reward Miles™ Prizes, the approximate retail value of AIR MILES Reward Miles depends on the chosen method of redemption, available Reward options at the time of redemption, and the set balance preference between AIR MILES Cash and AIR MILES Dream Accounts. If redeemed with AIR MILES Cash, 95 Cash Miles can be used in-store for $10 towards purchases at participating AIR MILES Partners or 95 Cash Miles can be used online for eVouchers for $10 worth of value at participating Reward Partners. If redeemed for flights (1,200 Reward Miles minimum required for flight redemption), value depends on destination chosen, date of travel, and use of multiple carriers or suppliers. For example, one (1) return economy flight from Toronto, Ontario to Winnipeg, Manitoba is 2,000 AIR MILES Reward Miles and has an approximate value of $525 (Canadian) excluding taxes. Winner must pay applicable taxes, related transportation fees, governmental levies, excess baggage and other non-ticket costs. The value of AIR MILES Reward Miles used for non-flight Reward options depends on Reward options in effect at the time of redemption. AIR MILES Reward Miles Prize is subject to the Terms and Conditions of the AIR MILES Reward Program, as amended from time to time. AIR MILES Reward Miles Prize is not transferable or convertible to cash and must be accepted as awarded. To ensure that the winner receives the Prize in their preferred account, winner should ensure their balance preference (AIR MILES Cash Account and AIR MILES Dream Account) is set as desired prior to the Prize being posted in their collector account.

   For all remaining Prizes, the approximate retail value of each Prize is listed in “Schedule A”.

   Certain Prizes are subject to additional terms and conditions set out by the issuer of the applicable Prize. These additional terms and conditions are set out at Schedule “B” of these Rules.

   For any Gift Card Prizes, Gift Card Prize values are expressed in Canadian dollars (“CDN”). All elements of each Gift Card Prize are subject to certain restrictions and are subject to additional terms and conditions as set out by the issuer of the applicable gift card. A Gift Card Prize is not transferable or convertible to cash, or refundable, and must be accepted as awarded. In the case of loss, theft, mutilation, alteration or unauthorized use, a Gift Card Prize will not be reimbursed or replaced. A Gift Card Prize cannot be used for purchases of goods and services prohibited by law.

   IMPORTANT NOTE: THE APPROXIMATE RETAIL VALUE OF EACH PRIZE NOTED IN SCHEDULE “A” IS CURRENT AS OF June 13, 2024. UNDER NO CIRCUMSTANCES WHATSOEVER WILL ANY DIFFERENCE BETWEEN THE ACTUAL RETAIL VALUE OF A PRIZE AT THE TIME OF FULFILLMENT, OR OTHERWISE, AND THE APPROXIMATE RETAIL VALUE OF THAT PRIZE AS NOTED ABOVE BE AWARDED.

   The Contest Parties, and each of their respective franchisees, parent companies, affiliated companies, subsidiaries, shareholders, officers, directors, members, managers, affiliates, distributors, retailers, printers, prize providers, advertising and promotion agencies, agents, employees, directors, successors, and assign, and any and all other companies associated with the design or execution of this Contest (collectively, the “Released Parties”) make no representations nor offer any warranties, express or implied, as to the quality or fitness of any Prize awarded in connection with the Contest. To the fullest extent permitted by applicable law, each confirmed winner understands and acknowledges that he, she or they may not seek reimbursement or pursue any legal or equitable remedy from either the Sponsor or any of the Released Parties should a Prize fail to be fit for its purpose or is in any way unsatisfactory. For greater certainty and the avoidance of any doubt, by accepting a Prize, each confirmed winner agrees to waive all recourse against the Released Parties if the Prize or a component thereof does not prove satisfactory, either in whole or in part.

   If due to printing, production, online, internet, computer, technical or other error of any kind whatsoever, including Sponsor error, more Prizes are claimed than intended to be distributed or awarded according to these Rules, then, in addition to having the right to terminate the Contest immediately, the Sponsor reserves the right, in its sole and absolute discretion, to rescind invalid prize claims and/or conduct a random draw from among all eligible Prize claimants to award the correct number and types of Prizes as specified in these Rules. In no event whatsoever will the Sponsor or any of the Released Parties be liable for more than the number and types of Prizes as stated in these Rules.

   The odds of being selected for a particular Prize at a particular Location, as at the start of the applicable Date/Time, are based on the total number of units of that particular Prize that are available at that particular Location, as specified in Schedule “A.” The number and types of Prizes available to be won at each Location for each Date/Time will decrease as Prizes are claimed and/or forfeited at the Location in accordance with these Rules.

10. ELIGIBLE WINNER CONFIRMATION PROCESS:

    An Eligible Entrant will instantly become eligible to win a Prize upon a Moment Shop brand ambassador scanning the package the Eligible Entrant has brought to the checkout and the checkout terminal dictating the Prize which the Eligible Entrant is eligible to win, as described above in Rule 7, subject to the Eligible Entrant complying with these Rules and the Sponsor’s final confirmation. NO ONE IS A WINNER UNLESS AND UNTIL THE SPONSOR OFFICIALLY CONFIRMS HIM/HER/THEM AS A WINNER IN ACCORDANCE WITH THESE RULES, EVEN IF THE AIR MILES Moment Shop INDICATES THAT AN ENTRANT IS A WINNER. Before being declared A CONFIRMED PRIZE winner, each eligible winner will be required to correctly answer a mathematical skill-testing question without mechanical or other aid onsite at the applicable Location.

    In addition, by participating in the Contest and accepting a Prize, each eligible winner hereby: (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the applicable Prize (as awarded); (iii) releases the Released Parties from any and all liability in connection with this Contest, his/her/their participation therein and/or the awarding and use/misuse of the applicable Prize or any portion thereof; and (iv) agrees to the publication, reproduction and/or other use of his/her/their name, city/province or territory of residence, likeness, photograph, voice, and statements without further notice or compensation, payment or other liability or obligation to the eligible winner or his/her/their heirs, executors, administrators or personal representatives, in any publicity or advertisement carried out by or on behalf of the Sponsor in relation to the Contest or the AIR MILES Reward Program, in any manner, medium, or media whatsoever throughout the world in perpetuity. Note, prior to confirming the eligible winner as a confirmed winner in accordance with these Rules, the Sponsor may, at its sole and absolute discretion, require an eligible winner (onsite at the applicable Location or otherwise) to sign and return a Prize Acknowledgement and Release Form, in form satisfactory to the Sponsor, which includes a standard declaration of compliance with the Official Contest Rules and releasing the Released Parties from liability in connection with the Contest or the Prize, in form satisfactory to Sponsor, in order to be awarded the Prize. In addition, if an eligible winner is under the age of majority in his/her/their province or territory of residence, a parent or legal guardian may be required to sign and return (onsite at the applicable Location or otherwise) the Sponsor’s form of Prize Acknowledgement and Release Form prior to the minor eligible winner being declared a confirmed winner in accordance with these Rules.

    If an eligible winner: (a) fails to correctly answer the skill-testing question; (b) cannot accept (or is unwilling to accept) the applicable Prize (as awarded) for any reason; (c) fails to sign and return the Prize Acknowledgment and Release Form as required by the Sponsor and/or (d) is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute discretion); then he/she/they will be disqualified and will forfeit all rights to the applicable Prize. In any such case, the forfeited Prize will not be available to be won in relation to this Contest.

11. GENERAL CONDITIONS:

    This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal. ANYONE DEEMED BY THE SPONSOR TO BE IN VIOLATION OF THE LETTER AND/OR SPIRIT OF THESE RULES OR ACTING IN AN UNSPORTSMANLIKE OR DISRUPTIVE MANNER FOR ANY REASON IS SUBJECT TO IMMEDIATE DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR AT ANY TIME.

    The Released Parties will not be liable for: (i) any failure of any AIR MILES Moment Shop during the Contest; (ii) any technical malfunction(s) or other problem(s) of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer online systems, servers, access providers, computer equipment, hardware or software; (iii) the failure of any information or entry to be received, captured or recorded for any reason whatsoever (including by humans and/or by an AIR MILES Moment Shop device); (iv) anyone being incorrectly and/or mistakenly identified as a winner or eligible winner; and/or (v) any combination of the above. The Sponsor will not accept screen shots or other evidence of winning in lieu of its own verification or confirmation process. All entries become the property of the Sponsor.
    
    The Sponsor reserves the right, in its sole and absolute discretion, to withdraw, amend or suspend this Contest (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest as contemplated by these Rules, including, without limitation, any error, problem, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate operation of this Contest in any way (as determined by Sponsor in its sole and absolute discretion) may be a violation of criminal and civil laws and, should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right, in its sole and absolute discretion, to cancel, amend or suspend this Contest, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative or other error of any kind, or for any other reason whatsoever. Without limiting the generality of the forgoing, the Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill, as it deems appropriate, based on the circumstances and/or to comply with applicable law.
    
    By entering this Contest, each entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted only for the purpose of administering the Contest and in accordance with the Sponsor’s Privacy Policy (available at: https://www.airmiles.ca/arrow/PrivacyPolicy). This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

    The Sponsor reserves the right, in its sole and absolute discretion, to adjust any of the dates, time frames and/or other Contest mechanics stipulated in these Rules, to the extent deemed necessary by the Sponsor, for purposes of verifying compliance by any entrant and/or other information with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

    In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to, point of sale, television, print or online advertising and/or any instructions or interpretations of these Rules given by any representative of the Sponsor, the terms and conditions of these Rules shall prevail, govern and control to the fullest extent permitted by law.

    The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision was not contained herein. The Sponsor’s failure to enforce any term of these Rules shall not constitute a waiver of that provision.

    To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of participants, Sponsor, or any other of the Released Parties in connection with the Contest, will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Rules or relating to this Contest.

    Sponsor reserves the right, in its sole and absolute discretion, to take whatever measures or actions it deems necessary to help ensure that the Contest is administered in accordance with the letter and spirit of these Rules.
